Learning outcomes
At the end of the course student knows the main extraordinary finance operations (mergers and acquisitions, spin-offs, carve out, going public and demergers, private equity and venture capital) and knows in which cases, in which situations and within which hypotheses they create value for shareholders. To this end, knows the theoretical and applied aspects of company valuation methods, with particular reference to those based on discounted cash flows and multiples
Course contents
Business valuation: discounted cash flow (DCF) method and market multiples
Corporate restructuring: carve out, spin-offs, going public and reorganizations
External growth strategies: mergers and acquisitions
Corporate governance: conflicts of interest between shareholders and managers.
Incentives for managers: stock options and stock grants
Architecture of financial systems: International comparisons
