Learning outcomes

The student analyzes the role of contractual autonomy both in the preparation of the content of contracts and in the creation of atypical contracts. In particular, the student examines contractual models that are largely applied in the practice of business relations, also in order to learn the editorial technique.

Course contents

The Course aims to provide the student with an overall view of contract law in the global market, in light of the legal guidelines of the National and European Supreme Courts.

The Course will also allow the student to examine and contract models largely invasive in the practice of trade relations, with the practical purpose of learning the techniques of drafting typical and atypical contracts.

The Course will have not only a theoretical value, but also and above all practical and professionalizing, with classroom or distance exercises.

The end result of the Course is to allow the student to draw up contracts and to solve the many problems in the field of contact.

Contractual autonomy and its limits

The contract that creates legal and artificial entities

The contract that creates financial goods and products

Contact as well and as a human right

The contract as an act and as a relationship

The essential requirements of the contract:

term and condition

The effects of the contract

Disability: nullity and undobility

The objectivity of the exchange

The contractual balance

Contractual justice

The new contract law

The contract instead of the law

The contract instead of the administrative act

Teaching methods

The teaching will be divided into frontal or remote lessons. During the course, material that is being investigated, such as judgments on cases or topics of particular interest, will be distributed or indicated in order to encourage more student involvement.

Assessment methods

The exam test aims to verify the knowledge of the subjects being taught and the lessons in front. The profit test will take place in an exclusively oral form.

Teaching tools

There will be drills and simulated causes.
